Terms of Service

Services
XappyTech Inc. provides digital services including website development, custom tool development, and automation solutions. The scope, timeline, and cost of each engagement are defined in a separate project agreement or statement of work agreed upon by both parties before work begins.
Payment Terms
Unless otherwise agreed in writing, payment terms are 50% deposit before work begins and 50% upon project completion. Invoices are due within 14 days of issue. Late payments may incur a 1.5% monthly interest charge.
Intellectual Property
Upon receipt of full payment, clients receive full ownership of all custom work created for them. XappyTech Inc. retains the right to display completed work in its portfolio unless otherwise agreed in writing. Any third-party tools, libraries, or frameworks used remain subject to their respective licenses.
Revisions
Project agreements include a defined number of revision rounds. Revisions beyond the agreed scope will be quoted and billed separately. Change requests that significantly alter the original scope may require a new project agreement.
Limitation of Liability
XappyTech Inc.'s total liability for any claim arising from services provided shall not exceed the total amount paid by the client for the specific project in question. We are not liable for indirect, incidental, or consequential damages.
Client Responsibilities
Clients are responsible for providing accurate content, timely feedback, and necessary access to complete the project. Delays caused by the client may affect the project timeline and are not the responsibility of XappyTech Inc.
Termination
Either party may terminate a project agreement with 14 days written notice. In the event of termination, the client is responsible for payment of all work completed to date. Deposits are non-refundable.
Governing Law
These terms are governed by the laws of Ontario, Canada. Any disputes shall be resolved in the courts of Ontario.
